Terms of Service

1. Acceptance

By creating an account or using Creator Discovery & Outreach (the "Service"), operated by SoundMinds AI, LLC ("SoundMinds," "we," "us," or "our"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Service Description

The Service is a multi-tenant SaaS platform that helps brands and agencies:

• Discover content creators on YouTube, TikTok, and Instagram using keyword and hashtag searches.
• Score discovered creators for brand fit using AI-assisted evaluation.
• Generate draft outreach messages using AI.

The Service is a tool for preparing and delivering outreach. You may send approved drafts directly via email through the platform, or export them for manual delivery (see Section 7, Outreach Delivery).

3. Accounts and Workspace Isolation

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account.

Each workspace ("tenant") is logically isolated. Your creator data, pipeline items, drafts, settings, and usage history are not visible to or shared with other tenants. SoundMinds employees with administrative access may view tenant data for support, debugging, or policy enforcement purposes.

4. Acceptable Use

You agree not to:

• Use the Service to harass, spam, or send unsolicited bulk messages to creators.
• Misrepresent your identity or affiliation when using outreach drafts.
• Violate applicable laws or regulations, including anti-spam laws (CAN-SPAM, GDPR, CASL).
• Attempt to circumvent usage quotas, rate limits, or content safety controls.
• Reverse-engineer, scrape, or extract data from the Service beyond normal platform use.
• Collect creator data for purposes unrelated to legitimate brand outreach.
• Submit system prompts designed to override platform safety controls or produce harmful content.

5. AI-Generated Content

The Service uses third-party AI models (including OpenAI) to score creators for brand fit, generate outreach draft messages, and assist with system prompt creation. AI-generated content is provided as a starting point and may contain inaccuracies, inappropriate language, or errors.

You are responsible for reviewing and editing all AI-generated content before using it. SoundMinds does not guarantee the accuracy, quality, or appropriateness of AI-generated content.

Custom system prompts that you configure are subject to automated content safety classification. Prompts that violate platform policy will be rejected. SoundMinds reserves the right to review and revert tenant-configured prompts at any time.

6. Third-Party Platform Compliance

The Service accesses publicly available data from YouTube, TikTok, and Instagram through their respective APIs and authorized data providers. By using the Service, you agree to comply with:

• Google's Terms of Service and the YouTube API Terms of Service
• Meta Platform Terms and Instagram Terms of Use
• TikTok Terms of Service

SoundMinds is not responsible for changes to third-party platform terms or API availability that may affect Service functionality.

7. Outreach Delivery

The Service provides two ways to deliver outreach messages to creators:

• Send via email: For approved drafts where the creator has a publicly listed email address, you may send the outreach message directly through the platform. Emails are delivered via our email infrastructure on your behalf, using your verified sender email address. You must verify your sender email before sending.
• Export and send manually: You may export or copy any draft and deliver it yourself through your own email, direct message, or other channel.

Regardless of delivery method, you are solely responsible for the content, delivery, and consequences of all outreach messages, including compliance with applicable anti-spam laws (CAN-SPAM, GDPR, CASL). Specifically:

• You must not use the Service to send unsolicited bulk messages or spam.
• You must ensure outreach messages include accurate sender identification.
• You must honor unsubscribe or opt-out requests from creators.
• You are responsible for understanding and complying with the anti-spam laws of the jurisdictions where your recipients are located.

SoundMinds reserves the right to suspend or revoke email sending privileges for any tenant whose sending activity results in high bounce rates, spam complaints, or violations of these Terms. SoundMinds is not liable for the consequences of outreach messages you send through the Service.

8. Billing and Payments

Paid plans are billed monthly or annually via Stripe. Your subscription includes monthly usage quotas for discovery, scoring, and drafting.

If you exceed your plan quotas and have overage billing enabled, additional usage will be charged at the per-unit overage rates displayed in your account settings, up to your configured monthly overage cap. Overage charges are billed at the end of each billing period.

You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period. Refunds are not provided for partial billing periods.

9. Data Ownership

You retain ownership of all content you create or upload to the Service ("Your Content"), including custom system prompts, edited outreach drafts, and keyword configurations. You grant SoundMinds a limited, non-exclusive license to process Your Content solely for the purpose of providing the Service.

Creator data discovered through the Service (public profile information, content metadata, and engagement metrics) is sourced from publicly available third-party platforms. SoundMinds does not claim ownership of this data. See our Privacy Policy for details on how creator data is collected, processed, and retained.

10. Limitation of Liability

The Service is provided "as is" without warranties of any kind, express or implied. SoundMinds shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to damages arising from AI-generated content, third-party platform changes, creator responses to your outreach, or service interruptions.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of laws principles. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Wake County, North Carolina (Raleigh). You consent to the personal jurisdiction of these courts and waive any objection to venue.

12. Termination

We may suspend or terminate your access to the Service if you violate these Terms or engage in activity that harms the Service or other users. Upon termination, your right to use the Service ceases immediately. We may retain your data as required by law or for legitimate business purposes.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
